Agreement to Terms

By accessing the Texchem website, placing an order or using our services (such as equipment repair, equipment rental or consulting), you agree to be bound by these Terms. If you do not agree, you must not use our services.

Products and Services

Texchem is an authorized distributor of Hillyard cleaning chemicals and equipment. Categories of products include:

Cleaning chemicals – carpet cleaners, disinfectants, floor finishes and coatings, floor cleaners and strippers, general and industrial cleaners, laundry and restroom cleaners, specialty chemicals and warewash chemicals.

Cleaning equipment – air movers and dryers, burnishers, carpet extractors, chemical sprayers, floor machines, pressure washers, scrubbers, sweepers, vacuums and touch‑free cleaning systems.

Cleaning tools, building and grounds maintenance products and consumables – mops and handles, squeegees, janitor carts, absorbents, batteries, packaging supplies and food‑service disposables.

In addition to distributing these goods, Texchem offers or will soon offer the following services:

Service and repair. Repair and maintenance services for commercial, industrial and automation equipment. Customers are responsible for delivering equipment to us or paying any pick‑up/delivery fees. Repairs are billed at our prevailing labor rates plus parts. We will inform customers of estimated costs before beginning work.

Equipment rental. Short‑term rentals of commercial cleaning equipment. Rental agreements will set out the rental term, deposit and any liability for damage or loss.

Consulting and education. Training and educational services related to janitorial operations, shipping logistics and building/lot maintenance. Consulting fees will be agreed in advance.

Orders, Pricing and Payment

Prices and product descriptions on our website or marketing materials are subject to change without notice. Quotations remain valid for 30 days unless otherwise stated. Orders placed before Tuesday are usually delivered on Thursday of the same week, subject to product availability and capacity. Payment is due at the time of order placement unless credit terms have been approved in writing.

Shipping and Delivery

Delivery is available within our service area in Texas. Title and risk of loss pass to the customer upon delivery. Customers are responsible for ensuring that someone is available to receive the delivery and for reporting any shortage, damage or defect within 48 business hours after receipt. We document deliveries using photographs and digital signatures to confirm receipt. Delivery dates are estimates; we are not liable for delays caused by events outside our control (e.g., carrier delays, weather, supply shortages or vendor back‑orders).

Returns, Exchanges and Cancellations

All sales are final. We do not accept returns or cancellations once an order has been placed. Exchanges are only available for defective items. To request an exchange, customers must report the defect within 48 business hours after delivery and provide photographic evidence. If we determine that a product is defective, we will, at our discretion, provide a replacement, repair the item or issue a credit. This policy is necessary because many of our products are consumable goods that cannot be resold once opened.

Warranties and Disclaimers

Except as expressly provided herein, Texchem makes no warranties, express or implied, regarding products or services. As a distributor, we pass through the manufacturer’s warranties to you to the extent permitted. You should review any product documentation from manufacturers for details on their warranties and recommended usage.

Cleaning chemicals and equipment may be hazardous if misused. Customers must follow safety instructions and comply with all applicable laws and industry standards. Texchem is not responsible for personal injury, property damage or environmental damage arising from improper use, storage or disposal of products. We are not liable for any incidental, consequential or special damages, including loss of profits, arising out of or related to the purchase or use of our products or services.

Limitation of Liability

To the maximum extent permitted by law, Texchem’s total liability for any claim arising out of or relating to these Terms, our products or services shall not exceed the amount you paid for the product or service giving rise to the claim. In no event shall Texchem or its officers, directors, employees or agents be liable for consequential, incidental or punitive damages, including but not limited to lost profits, business interruption or personal injury. Some states do not allow the exclusion or limitation of certain damages; if those laws apply, portions of this limitation may not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless Texchem and its officers, directors, employees and agents from and against any claims, liabilities, damages and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of our products or services, your violation of these Terms, or your violation of any law or regulation.

Governing Law and Dispute Resolution

These Terms and any dispute arising from them shall be governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal action must be brought in the state or federal courts located in Webb County, Texas, and you consent to the jurisdiction of those courts.

Changes to Terms

We may update these Terms from time to time. Material changes will be posted on our website, and the “Last Updated” date at the bottom of this document will reflect when the Terms were most recently revised. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
